Can non-accredited investors invest?
Unfortunately, No. We can only offer investments to accredited investors according to SEC rules.
What is “ROFR” (Right of First Refusal)?
ROFR is a company’s right to purchase the shares from the shareholder on the same terms as we bid. The company has up to 30 days to decide upon a third-party offer to the original shareholder.
What legal documents will be sent of the investment?
Most of our offerings come with an all inclusive price/share, which has the legal, transfer, placement and management fee included. Funds could have a pre determined carried interest on profits at closing.
What is the Fee structure?

What is Carried Interest?
In simple terms, its performance fee and is only charged on proceeds after a sale excluding original investment. For instance: If an investment is $5000 and sale proceeds are $10,000. Carried Interest of 5% (example) will only be charged on the profit of $5000 which will be $250.
What are the Risks involved?
Pre-IPO Investments are riskier than conventional investments in the stock market. Liquidity is very low or not available if you change your mind about the investment. The company may never go public. There is no guarantee the company will complete an IPO. If that happens, you may not be able to sell your shares or end up waiting for months or years in some cases. The securities may be restricted. Many privately purchased securities come with restrictions, such as limitations on when you can sell your shares. Typically, lock up periods are about 180 days after IPO
As funding rounds occur and more equity is issued, existing shareholders could experience a decrease in their ownership percentage. This at times could mean an increase or decrease in the value of the investment based on what valuation the company is gaining.
